These Terms of Service ("Terms") govern your access to and use of the waverock website and AI-powered growth planning platform (collectively, the "Service"), operated by waverock, Inc. ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account or using the Service in any way, you represent that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to comply with these Terms and all applicable laws and regulations.

If you are using the Service on behalf of a business, you represent and warrant that you have the authority to bind that business to these Terms.

2. Description of Service

waverock is an AI-powered business strategy platform. The Service allows users to:

• Complete a guided 12-question business assessment
• Receive AI-generated growth plans, strategic recommendations, and prioritized action items
• Access, save, and revisit their strategy plans through a user dashboard
• Upgrade to premium tiers for enhanced analysis, additional plans, and advanced features

The outputs generated by waverock are for informational and planning purposes only. They do not constitute professional legal, financial, accounting, or consulting advice. You should consult qualified professionals before making significant business decisions.

3. Account Registration

3.1 Account Creation

To access certain features, you must create an account. You agree to provide accurate, complete, and current information and to keep this information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3.2 Account Security

You agree to notify us immediately at contact@waverock.ai if you become aware of any unauthorized use of your account. We are not liable for any loss resulting from unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at our discretion if you violate these Terms, engage in fraudulent activity, or if required by law.

4. Subscription Plans & Payments

4.1 Free and Paid Plans

waverock may offer both free and paid subscription tiers. Paid plans provide access to premium features including additional growth plans, advanced strategy modules, and priority support.

4.2 Billing

By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis (monthly or annually, as selected). All fees are in US dollars and are non-refundable except as stated in our Return Policy below.

4.3 Price Changes

We reserve the right to change our pricing at any time. We will provide at least 30 days' notice before any price change takes effect for existing subscribers. Your continued use of the Service after a price change constitutes your acceptance of the new pricing.

4.4 Taxes

You are responsible for all applicable taxes associated with your use of the Service. Where required, we will collect and remit applicable sales tax or VAT.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Submit false, misleading, or fraudulent business information
• Attempt to reverse engineer, decompile, or extract source code from the platform
• Scrape, crawl, or use automated means to access the Service without our written consent
• Introduce viruses, malware, or any other harmful code
• Use the Service to develop a competing product or service
• Share, resell, or sublicense your account or the outputs generated by the Service without our written permission
• Harass, abuse, or harm any person in connection with use of the Service

6. Intellectual Property

6.1 Our IP

The Service, including its design, code, AI models, branding, and content, is the exclusive property of waverock, Inc. and is protected by copyright, trademark, and other intellectual property laws. You may not use our intellectual property without our prior written consent.

6.2 Your Content

You retain ownership of the business information and data you submit to the Service ("Your Content"). By submitting Your Content, you grant waverock a limited, non-exclusive, royalty-free license to use, process, and analyze it solely for the purpose of providing the Service to you.

6.3 AI-Generated Outputs

The growth plans and strategic recommendations generated by the Service ("Outputs") are provided to you for your personal or internal business use. You may use, adapt, and implement Outputs for your own business purposes. You may not resell, redistribute, or publish Outputs as your own original work for commercial gain without our written consent.

7. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WAVEROCK DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement
• That the Service will be uninterrupted, error-free, or secure
• That the AI-generated Outputs will be accurate, complete, or suitable for your specific situation
• That any defects or errors will be corrected

AI-generated growth plans are based on the information you provide and general business patterns. They are not a substitute for professional business, legal, or financial advice.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WAVEROCK, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:

• The amount you paid to WAVEROCK in the 12 months preceding the claim
• One Hundred US Dollars ($100)

9. Indemnification

You agree to defend, indemnify, and hold harmless waverock and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, Your Content, or your violation of these Terms.

10. Modifications to the Service

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

11. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of [Your State], without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings conducted in [Your City, State]. You waive any right to a jury trial or class action.

12. Changes to These Terms

We may update these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the effective date. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.

Refund Policy

Effective Date: May 2, 2026

This Refund Policy outlines the terms under which waverock offers refunds for paid subscriptions and purchases. Because waverock is a digital SaaS (Software as a Service) product, traditional "returns" do not apply — however, we are committed to your satisfaction and stand behind the value of our platform.

1. Subscription Refunds

1.1 Monthly Subscriptions

Monthly subscription fees are non-refundable once the billing period has begun. If you cancel a monthly subscription, your access will continue until the end of the current billing period, after which no further charges will occur. No partial-month refunds are issued.

1.2 Annual Subscriptions — 7-Day Satisfaction Guarantee

For annual subscriptions, we offer a 7-day money-back guarantee from the date of purchase. If you are not satisfied with the Service within the first 7 days of your annual subscription, contact us at contact@waverock.ai and we will issue a full refund, no questions asked.

After 7 days, annual subscription fees are non-refundable. If you cancel an annual plan after the guarantee period, you will retain access through the end of the subscription year.

1.3 Free Trial to Paid Conversion

If your account transitions from a free trial to a paid subscription, the 14-day guarantee begins on the date the first paid charge is processed.

2. One-Time Purchases

If waverock offers any one-time purchases (e.g., individual strategy reports, add-on modules), refunds for these products are available within 5 days of purchase if the product has not been accessed or downloaded.

Once a report or deliverable has been viewed or downloaded, it is non-refundable.

3. How to Request a Refund

To request a refund within the eligible period:

• Email us at contact@waverock.ai with the subject line: "Refund Request — [Your Account Email]"
• Include your account email address and the date of purchase
• Briefly describe why you are requesting a refund (optional, but helps us improve)

We will process eligible refund requests within 5–7 business days. Refunds will be issued to the original payment method. Depending on your bank or card issuer, it may take an additional 5–10 business days for the refund to appear on your statement.

4. Exceptions & Non-Refundable Situations

Refunds will not be issued in the following circumstances:

• Monthly subscription fees (any billing period already begun)
• Annual subscription fees after the 7-day guarantee window has passed
• Accounts that have been suspended or terminated due to violations of our Terms of Service
• Cases where the refund policy has already been applied to the same account previously
• Dissatisfaction with AI-generated outputs that does not reflect a technical failure of the platform
• Failure to use the Service during the subscription period (non-use does not constitute grounds for a refund)

5. Service Outages & Technical Issues

If waverock experiences a significant technical outage or service disruption lasting more than 24 consecutive hours that prevents you from accessing the platform, you may be eligible for a pro-rated credit applied to your next billing cycle.

Outage credits are not issued as cash refunds. This does not apply to one-time purchases.

6. Chargebacks

We encourage you to contact us directly before initiating a chargeback with your bank or credit card provider. Unauthorized chargebacks may result in suspension of your account and potential collection activity.

We are committed to resolving any billing disputes quickly and fairly.

7. Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at contact@waverock.ai.

Cancellation stops future billing but does not entitle you to a refund of fees already paid, except within the guarantee windows described above.

8. Changes to This Policy

We reserve the right to modify this Refund Policy at any time. Changes will be posted on our website with an updated effective date. Your continued use of the Service after changes are posted constitutes acceptance of the revised policy.
